Terms of Service

1. AGREEMENT AND PARTIES

These Terms of Service (the "Terms") govern access to and use of STUDIO CORE, a software-as-a-service platform for managing tattoo studios (the "Service"). The Service is provided by The White Whale sas, Via Tadino 20, 20124 Milano, Italy — VAT no. IT 13571300964 (the "Operator"). The Terms are a contract between the Operator and the business that subscribes to the Service (the "Studio"). The Data Processing Agreement published at studio-core.app/dpa is part of these Terms. By requesting access, starting the free trial or using the Service, the Studio accepts these Terms, including the Data Processing Agreement. Whoever accepts on the Studio's behalf confirms they are authorised to bind it.

2. BUSINESS CUSTOMERS ONLY

The Service is offered exclusively to businesses and self-employed professionals (tattoo and piercing studios and similar businesses) for purposes related to their trade, business or profession. It is not offered to consumers, and consumer-protection rules, including the statutory right of withdrawal, do not apply. The people the Studio gives access to (owners, staff, resident and guest artists — the "users") use the Service on the Studio's behalf, and the Studio is responsible for their use as for its own.

3. ACCOUNTS AND ACCESS

Each user has a personal account. The Studio and its users must keep their credentials confidential and must not share accounts; anything done under an account is attributed to that account and to the Studio it belongs to. The Studio decides who has access and with which role, and removes access for people who no longer work with it. If it suspects unauthorised access, the Studio informs the Operator without delay at privacy@studio-core.app. The Studio is responsible for the accuracy of the data its users enter (bookings, workstations, times, client details, amounts). The Operator is not liable for errors caused by incorrect data entry.

4. CLIENT DATA

The Studio is the data controller for the personal data of clients, artists and staff that its users enter into the Service. It is responsible for collecting that data on a valid legal basis under the GDPR (EU Regulation 2016/679) — including explicit consent for the health data collected in consent forms — and for informing the people concerned. The Operator processes that data as a processor on the Studio's behalf, under the Data Processing Agreement. Users must not export or share client data outside the Service without the Studio's authorisation and a valid legal basis.

5. INTELLECTUAL PROPERTY

The software, design and content of STUDIO CORE belong to the Operator. For the duration of the subscription, the Operator grants the Studio a non-exclusive, non-transferable licence for its users to use the Service to manage the Studio. Reverse engineering, redistribution or reproduction of the Service is not permitted, except where the law expressly allows it. The data the Studio enters remains the Studio's.

6. SERVICE AVAILABILITY

The Operator provides the Service with professional care and aims for continuous availability, but does not guarantee uninterrupted or error-free operation: scheduled maintenance and infrastructure updates may cause temporary interruptions. To the extent permitted by law, the Operator is not liable for operational losses (such as missed appointments or revenue) resulting from the Service being unavailable; liability for wilful misconduct or gross negligence is not excluded.

7. GOVERNING LAW

These Terms are governed by the laws of the Italian Republic. Any dispute arising from the use of STUDIO CORE is subject to the exclusive jurisdiction of the courts of Milan, Italy.

8. SUBSCRIPTION & BILLING

STUDIO CORE is offered as a SaaS subscription at €49/month per studio (VAT excluded), billed monthly via PayPal Subscriptions. New studios receive a 30-day free trial; the first charge occurs at the end of the trial. The subscription renews automatically until cancelled. Cancellation. The Studio's admin may cancel at any time directly from their PayPal account; access remains active until the end of the period already paid. No partial refunds are issued. At the end of the subscription the Studio may request an export of its data; the data is then deleted as set out in the Data Processing Agreement. Payment failure. After a failed payment, PayPal automatically retries up to three times. If retries fail or the trial expires without activation, the Studio is suspended: data is preserved but read/write access is blocked until the subscription is brought current. The Operator may permanently delete data from suspended studios after 90 days of continued non-payment, after sending a final notice. Price changes. The Operator may revise the subscription price by giving the Studio's admins at least 30 days' notice by email. Continued use after the effective date constitutes acceptance.

9. DATA PROCESSING AGREEMENT

The Data Processing Agreement under Article 28 GDPR (studio-core.app/dpa) is incorporated into and forms part of these Terms. It is accepted together with the Terms, so no separate signature is needed; a countersigned copy is available on request at privacy@studio-core.app. If these Terms and the Data Processing Agreement conflict on the protection of personal data, the Data Processing Agreement prevails.
